Terms of Service

What the Service is

KOTN Auto Bidding helps you watch selected lots on King of the North Auction (kotnauction.com) and, when you enable live bidding, place bids near the end of an auction up to a maximum price you set.

We are not affiliated with, endorsed by, or partnered with King of the North Auction or its operators. KOTN is a separate third-party auction platform with its own terms, fees, pickup rules, and account requirements. You remain solely responsible for complying with KOTN's terms and for any purchase obligations that result from bids placed with your account.

Eligibility and accounts

• You must be legally able to enter a contract and to use KOTN under KOTN's rules.
• You must provide accurate signup information and keep your Apex Slice password confidential.
• You are responsible for activity under your Apex Slice account.
• One Apex Slice account may connect one KOTN login. Do not share accounts in a way that violates these terms or KOTN's rules.

KOTN credentials and authorization

To place bids, you must connect your KOTN username and password. By connecting them you:

• Confirm you are authorized to use that KOTN account
• Authorize us to sign in to KOTN and to place bids, refresh lot status, and take related actions needed to operate the auto-bidder according to your settings
• Understand that we store those credentials to keep the Service running until you disconnect them or delete your account

You can disconnect your KOTN account from the Service. After disconnecting, we will stop using those credentials for new bidding activity. You should also change your KOTN password if you believe it was exposed.

Bidding, money, and risk

Live bids are real.When practice mode is off and bidding is not paused, the Service may place actual bids on KOTN using your account. Winning a lot can create a binding obligation to pay KOTN and collect the item under KOTN's rules.

• You choose each lot and the maximum price. You are responsible for that maximum, for overbids that KOTN allows under its own rules, and for soft-close / timer extensions that are normal on KOTN.
• We do not guarantee that you will win any lot, that a bid will be accepted, that timing will be perfect, or that the Service will be available at the exact moment an auction ends.
• Network delays, KOTN outages, browser/API changes, rate limits, maintenance, bugs, and misconfiguration (including leaving practice mode on, or leaving the engine paused) can cause missed bids or unexpected outcomes.
• Practice mode simulates what the Service would do without placing a real bid. It is for testing only. Turning practice mode off means bids are live.
• You remain responsible for pickup, payment, buyer premiums, taxes, and any dispute with KOTN or other bidders.

Subscriptions and billing

Paid plans (and any free trial) are described on the website and in your account. Payments are processed by Stripe. By starting a paid subscription you authorize recurring charges until you cancel.

• Plan limits (for example number of active lots) are enforced by the Service.
• You can manage or cancel through the Stripe customer portal / billing links we provide, subject to Stripe's processing.
• Fees are generally non-refundable except where required by law or where we expressly agree otherwise.
• Prices are typically shown in CAD and may change; we will update the site or notify you as appropriate for material changes.

Acceptable use

You agree not to:

• Use the Service for unlawful purposes
• Connect a KOTN account you do not own or are not allowed to use
• Attempt to disrupt, reverse engineer, overload, or bypass the Service or KOTN's systems beyond normal use of the product
• Resell access, scrape our Service for competing products, or abuse trials / billing
• Use the Service in any way that violates KOTN's terms or applicable law

We may suspend or terminate access if we reasonably believe you have violated these terms or pose a security or legal risk.

Service availability and changes

We aim to keep the Service available but do not warrant uninterrupted, error-free, or timely access. Features may change as the product evolves. KOTN may change its website or rules at any time; that can affect how well the Service works.

Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that automated bidding will achieve any particular result.

Limitation of liability

To the fullest extent permitted by law, Apex Slice, Kayadevs, and their directors, officers, and contractors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost lots, missed auctions, overpayment, purchase obligations to KOTN, data loss, or business interruption, arising from your use of the Service — even if advised of the possibility.

Our total liability for any claim relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the three (3) months before the claim, or (b) CAD $50.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent permitted by law.

Indemnity

You agree to defend and indemnify Apex Slice and Kayadevs against claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your KOTN account, bids placed with your credentials, your violation of these terms, or your violation of KOTN's terms or third-party rights — except to the extent caused by our willful misconduct.

Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or end access if you breach these terms, if required by law, or if we discontinue the product. Provisions that by their nature should survive (including liability limits, indemnity, and governing law) will survive termination.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict-of-law rules. Courts in Ontario have exclusive jurisdiction over disputes, subject to any non-waivable consumer protections that apply to you.

Changes

We may update these terms from time to time. We will change the "Last updated" date above. Continued use after a change means you accept the updated terms. If you do not agree, stop using the Service and cancel your subscription.
